1. Introduction
1.1 Agreement. These Terms of Service (“Terms”) form a binding agreement between Pathbuilder (“Pathbuilder”, “we”, “us”, or “our”) and the business that registers for and uses the Pathbuilder Platform (the “Customer” or “you”). These Terms govern your access to and use of the Services described in section 2. The individual who accepts these Terms on behalf of the Customer confirms that they have the authority to do so.
1.2 Acceptance. You accept these Terms when you create an account, when you submit the subscription form, or when you first access or use the Pathbuilder Platform, whichever happens first. If you do not agree to these Terms, do not access or use the Services.
1.3 Privacy. Our Privacy Notice explains how we collect, use, and share Personal Data where we act as a data controller. The Privacy Notice is incorporated into these Terms by reference, and we encourage you to read it carefully.
2. The Pathbuilder Platform
2.1 The Services. The Pathbuilder Platform is an online service that helps company founders and executives prepare their company for an eventual acquisition. It offers a structured plan of preparation activities, reminders about those activities, and tools to keep track of important business relationships. The Pathbuilder Platform and any related customer support are referred to together in these Terms as the “Services”.
2.2 Changes to the Services. We are continually improving the Services, and we may add, change, or remove features from time to time. We will not make a change that materially reduces the core functionality of the Services during a paid Subscription Term without notifying you in advance.
2.3 Messages and reminders. The Pathbuilder Platform sends you various messages and reminders as specified in your settings. The delivery of these messages depends on email providers, messaging services such as Slack, and other networks that we do not control. We work hard to deliver every message and to let you know when a message could not be delivered, but we cannot guarantee that every message will arrive, or that it will arrive on time. You remain responsible for your own deadlines and business decisions.
3. Your account
3.1 Eligibility. The Services are intended for business use only and are not offered to consumers. To create an account, you must be at least 18 years old and able to enter into a binding contract.
3.2 Authorized User. Each account belongs to one Customer and may be used only by one individual (the “Authorized User”). You may not share your sign-in details with anyone else, or allow anyone else to use your account, unless we have agreed to this in writing.
3.3 Account information and security. You agree to provide accurate and complete information when you sign up, and to keep that information up to date. You are responsible for keeping your sign-in details confidential and for all activity that takes place in your account. If you believe that your account has been accessed or used without your permission, please notify us immediately at hello@pathbuilderhq.com.
4. Subscription and payment
4.1 Fees and Subscription Term. Access to the Pathbuilder Platform requires a paid subscription. The subscription fee and the length of each subscription period (each, a “Subscription Term”) are shown on the subscription form before you pay.
4.2 Payment. You agree to pay all agreed-upon fees at the start of each Subscription Term. Payments are processed by our third party payment processor. By subscribing, you authorize us to charge your chosen payment method for the subscription fee at the start of each Subscription Term, including each renewal.
4.3 Automatic renewal. Your subscription renews automatically at the end of each Subscription Term for another term of the same length, at the fee then in effect, unless you cancel before the renewal date. If we change the subscription fee, we will notify you at least 30 days before the renewal at which the new fee will apply.
4.4 Cancellation. You may cancel your subscription at any time from the Settings section of the Pathbuilder Platform. Cancellation takes effect at the end of the then-current Subscription Term. For the avoidance of doubt, cancellation will not result in a refund of any fees already paid, under any circumstances.
4.5 No refunds. All fees are non-refundable. There are no refunds or credits for any partial Subscription Term, for unused time, or for features you did not use, except where the law requires otherwise.
4.6 Late payment and suspension of Services. If you fail to pay any amount when it is due, we may immediately suspend your access to the Services. If all past-due amounts are not paid within 180 days from the date of suspension, we may permanently delete your Pathbuilder account and all of the data it contains. We may also charge interest on any overdue amount at the maximum rate permitted by law, and you will be responsible for reimbursing us for all costs we reasonably incur in collecting late payments, including attorneys’ fees, collection agency fees, and court expenses.
4.7 Taxes. Our fees do not include any sales, use, value-added, or similar taxes. You are responsible for paying all such taxes, and we may add them to your invoice where we are required by law to collect them.
4.8 Complimentary accounts. We may, at our sole discretion, provide an account free of charge. A complimentary account is subject to these Terms, except for the payment terms in this section 4, and we may terminate it at any time by notifying you.
5. Your data
5.1 Ownership of Customer Data. You retain ownership of all information that you and your Authorized User enter into the Pathbuilder Platform, including your company details, your answers and notes, and the information you keep about your contacts (together, “Customer Data”).
5.2 Our use of Customer Data. You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, and display Customer Data, but only to the extent needed to provide, secure, and support the Services, and to improve them as described in our Privacy Notice. We may also create aggregated or de-identified data from your use of the Services and use it for any lawful purpose, provided that such data does not identify you, your company, or any individual.
5.3 Information about other people. When you enter information about other people into the Pathbuilder Platform, such as investors, advisors, and other business contacts, you act as the data controller for that information, and we process it on your behalf and only on your instructions. You are responsible for having a lawful basis to collect and use that information, and for giving any notices and obtaining any consents that the law requires.
5.4 After your subscription ends. When your subscription ends, your access to the Pathbuilder Platform and all platform-generated reminders will stop. We retain and then delete Customer Data as described in our Privacy Notice. If you would like us to delete your account and Customer Data sooner, you may request this by contacting hello@pathbuilderhq.com.
6. Acceptable use and third party services
6.1 Acceptable use. You agree to use the Services responsibly and only for lawful business purposes. In particular, you agree that you will not, and will not allow anyone else to:
use the Services in violation of any applicable law, or to store or send any unlawful, infringing, or harmful material;
enter information about other people that you do not have the right to hold or use;
attempt to gain unauthorized access to the Services, to other customers’ accounts, or to our systems, or test their security without our prior written permission;
interfere with or disrupt the Services, or place an unreasonable load on them;
copy, resell, sublicense, or otherwise make the Services available to anyone other than your Authorized User;
reverse engineer the Services, or use them to build a competing product, except to the extent the law allows this despite this restriction; or
use automated means to access the Services, other than features we provide for that purpose.
6.2 Third party services. Some features of the Services work together with services provided by other companies, such as messaging providers, email providers, our payment processor, and our sign-in provider. Your use of those third party services is governed by their own terms and policies, and we are not responsible for their services or practices. When you connect a third party service to the Pathbuilder Platform, you authorize us to exchange information with that service as needed to provide the feature you have chosen.
7. Not professional advice
7.1 General information only. The roadmap, actions, guides, and other content provided through the Services are general information, designed to help you organize your strategic preparation. This content is not legal, tax, accounting, financial, investment, or mergers and acquisitions advice, and it does not take the place of advice from qualified professionals who know your company and its circumstances. Your use of the Services does not create an advisory, fiduciary, or attorney-client relationship between you and Pathbuilder.
7.2 Your decisions. You alone decide which actions to take and how to take them. Before acting on any content provided through the Services, we recommend that you seek advice from your own lawyers, accountants, and other professional advisors.
7.3 No guaranteed outcome. We cannot promise any particular result. Using the Services does not guarantee that your company will be acquired, or that it will be acquired on any particular terms, at any particular value, or within any particular time.
8. Intellectual property and confidentiality
8.1 Our intellectual property. Pathbuilder owns all rights in the Services, including the Pathbuilder Platform, guides, templates, and Pathbuilder trade names and logos. Subject to these Terms and to payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your company’s internal business purposes during your Subscription Term. We reserve all rights that are not expressly granted to you in these Terms.
8.2 Feedback. We welcome your ideas and suggestions for improving the Services. If you share any feedback with us, we may use it freely and without any obligation to you.
8.3 Confidentiality. Each party will keep confidential any non-public information that the other party shares with it. Each party will use such information only to perform its obligations or exercise its rights under these Terms, and will protect it with at least reasonable care. These obligations do not apply to information that is or becomes public through no fault of the receiving party, that the receiving party already knew or developed independently, or that the receiving party is required by law to disclose. Where disclosure is required by law, the receiving party will notify the other party in advance where it is legally permitted to do so.
9. Warranties, liability, and indemnity
9.1 Mutual warranties. Each party represents and warrants to the other that it has full authority to enter into these Terms and that it will comply with all laws directly applicable to its use or provision of the Services, as the case may be.
9.2 DISCLAIMER OF WARRANTIES. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT AS SET OUT IN SECTION 9.1, TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT EVERY MESSAGE OR REMINDER WILL BE DELIVERED.
9.3 LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, OR FOR ANY LOST OR DELAYED TRANSACTION, EVEN IF THAT PARTY HAS BEEN ADVISED THAT SUCH DAMAGES WERE POSSIBLE. PATHBUILDER’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
9.4 Indemnity. You agree to defend and indemnify Pathbuilder against any claim brought by a third party, and against any resulting losses, damages, and costs, to the extent the claim arises from Customer Data, including any information you entered about other people, or from your breach of section 6 (Acceptable use and third party services).
10. Term, suspension, and termination
10.1 Term. These Terms take effect when you accept them and remain in effect until your subscription has ended.
10.2 Suspension. In addition to our rights under section 4.6, we may immediately suspend your access to the Services if you breach section 6, or if we reasonably believe that your use of the Services puts the Services, other customers, or anyone else at risk.
10.3 Termination for breach. Either party may terminate these Terms if the other party materially breaches them and does not cure the breach within 30 days after receiving written notice of it. If you terminate these Terms because of our breach, we will refund the fees you paid for the remainder of the then-current Subscription Term. If we terminate these Terms because of your breach, no refund will be due.
10.4 Survival. Sections 4.5 (No refunds), 4.6 (Late payment and suspension of Services), 5, 7, 8, 9, 10.4, and 11 will continue to apply after these Terms end.
10.5 Changes to these Terms. We may update these Terms from time to time by posting a new version on our website. If we make a significant change, we will notify you by email or through the Pathbuilder Platform at least 30 days before the change takes effect. By continuing to use the Services after that date, you accept the updated Terms.
11. General
11.1 Governing law and jurisdiction. These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in New York County, New York, and each party consents to the jurisdiction of those courts.
11.2 Notices. We may send notices to you at the email address associated with your account. You may send notices to us by email at hello@pathbuilderhq.com, or by post to 1115 Broadway, 12th Floor, New York, NY 10011.
11.3 Assignment. Neither party may assign or transfer these Terms without the other’s prior written consent, except to an affiliate or a successor in connection with a merger, acquisition, or sale of all or substantially all of its assets.
11.4 Force majeure. Except for payment obligations, neither party will be liable to the other party for any delay or failure to perform caused by events beyond its reasonable control, including, but not limited to, acts of God, acts of government, labor disputes, earthquakes, storms or other natural elements, embargoes, riots, internet or telecommunications failures, utility failures, pandemics, epidemics, acts of terrorism, or war.
11.5 Entire agreement and severability. These Terms, together with the Privacy Notice, are the entire agreement between you and Pathbuilder regarding the Services, and they replace any earlier agreements on that subject. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right under these Terms is not a waiver of that right.
11.6 Independent contractors. The parties are independent contractors, and nothing in these Terms creates a partnership, joint venture, or employment relationship between them.
